ALL IS CONTENT — TERMS & CONDITIONS

Version: 10 October 2026

1. Business information

All Is Content is a sole proprietorship registered in the Netherlands.

Business address: Atlas 8, 5591 PK Heeze, the Netherlands

Chamber of Commerce number: 99840278

Establishment number: 000064885089

Email: info@alliscontent.com

Website: alliscontent.com

These terms apply to video production, audio production, editing and related creative services supplied by All Is Content.

“Client” means the person or business entering into the agreement. “Consumer” means a natural person acting outside their trade, business or profession.

2. Quotes and agreements

The quote specifies the project scope, deliverables, price and any agreed planning or additional conditions. Its validity period is stated in the quote.

An agreement is formed when the client accepts the quote in writing, including by email. Shoot dates are confirmed in writing.

Specific arrangements agreed in writing take priority over these terms. Mandatory legal rights remain unaffected.

The version provided before the agreement applies to that project. Later changes to these terms do not automatically apply to existing agreements.

3. Scope and creative approach

All Is Content carries out the work with reasonable professional care and in accordance with the agreed brief.

The scope determines the shooting time, subjects, deliverables, lengths, formats and other production requirements. Creative references establish a direction but do not promise an exact reproduction.

Essential shots, participants and moments must be discussed beforehand. Access, weather, lighting, event schedules and other practical conditions may affect what can be captured. Material limitations will be discussed as soon as reasonably possible.

Marketing results, including views, engagement, audience growth and sales, are not guaranteed.

4. Client responsibilities

The client supplies the information, materials, access and feedback reasonably needed to perform the work.

Before production, the parties agree who arranges location access, permits and permissions involving participants. Each party remains responsible for its own legal obligations.

The client must have the necessary rights to materials they provide, including music, footage, photographs, logos and graphics, for the agreed use.

The client must disclose relevant safety restrictions and provide a reasonably safe working environment. All Is Content may pause work where there is a serious safety risk and will discuss an appropriate solution.

5. Prices and additional costs

The quote identifies the agreed production fee, applicable VAT and any additional costs. Prices quoted to consumers include VAT and unavoidable charges.

Travel, parking, studio hire, equipment rental, additional crew and other external costs require prior client approval. Approval may be given by accepting a quote that clearly includes those costs.

Changes outside the agreed scope require agreement on any additional fees and scheduling consequences before that extra work begins.

6. Payment

An advance payment of 25% of the agreed total is invoiced after acceptance of the quote. It is payable within seven calendar days of the invoice date and before filming begins, unless otherwise agreed in writing. For short-notice bookings, the payment deadline is agreed before confirmation.

The remaining 75% is invoiced upon final delivery and is payable within 30 calendar days of the invoice date. Approved additional work and expenses may be invoiced separately.

Final delivery means delivery of the completed, agreed files following the included revision process, or earlier written approval by the client. A review draft is not final delivery.

If payment is overdue, All Is Content will contact the client and allow a reasonable opportunity to pay. Statutory interest and legally permitted collection costs may be charged after the applicable requirements have been met. Consumers will first receive the legally required free payment notice.

Any suspension of work for non-payment must be lawful and proportionate and will be communicated beforehand.

7. Planning and delivery

Shoot dates, delivery dates and any essential deadlines are agreed in writing.

The client must communicate publication dates and other time-sensitive requirements before accepting the quote.

If necessary materials, access or feedback are delayed, All Is Content will explain the consequences and agree a reasonable revised schedule. Delays caused by All Is Content will also be communicated promptly.

A missed deadline does not remove the client’s legal rights or remedies.

8. Feedback and revisions

Unless expressly agreed otherwise, the project includes two revision rounds:

• Round one: substantial editing adjustments within the original brief, such as structure, pacing, shot selection, music direction and on-screen text.

• Round two: minor final refinements to the revised version, such as small timing changes, text corrections and finishing details.

The client provides one consolidated feedback list per round, through one nominated contact person, within five calendar days after receiving the relevant review version.

A substantial change of direction after the first revision round may constitute additional work. New concepts, reshoots, extra deliverables and changes outside the original brief are not included.

Additional revisions are chargeable only after the client approves the applicable rate or quote.

Correcting errors or failure to meet the agreement is not treated as an optional paid revision.

If feedback is late, delivery may be rescheduled. Silence does not automatically constitute approval or remove the client’s rights.

9. Cancellation before a shoot

Cancellation should be communicated as soon as possible, preferably by email to info@alliscontent.com.

For a project with one shoot date:

• Cancellation at least 14 calendar days before the scheduled start carries no production cancellation fee.

• Cancellation less than 14 calendar days before the scheduled start carries a cancellation fee of 25% of the agreed production fee, subject to the consumer protections below.

The production fee excludes separately itemised external costs. An advance payment already received is credited against the amount payable; it is not charged again in addition to the cancellation fee.

Previously approved external commitments, such as studio hire, equipment rental or booked crew, remain payable only to the extent that they cannot reasonably be cancelled, recovered or avoided. All Is Content will make reasonable efforts to reduce those costs and provide a breakdown.

For projects with multiple shoot dates, the quote will specify the fee attributable to each date or the applicable cancellation arrangement. Cancelling one date does not automatically trigger a charge against the entire project.

Consumer protection: a consumer will not automatically forfeit the advance payment. Any amount payable must be permitted by law and reasonable in light of the work performed, allowable costs and savings. The production cancellation charge will not exceed the 25% stated above and will be reduced where legally required.

Statutory withdrawal rights and rights arising from a failure by All Is Content take priority over this section.

Any excess advance payment will be refunded within 14 days after the cancellation settlement is determined, or earlier if required by law.

10. Rescheduling and projects already underway

Requests to move a shoot are considered subject to availability. Any new date, additional costs or treatment of the original booking must be agreed in writing.

A rescheduled date does not automatically create a second cancellation charge. Any charge must avoid duplicate recovery of the same work or costs.

If a client ends a project after filming or other substantial work has been performed, payment for completed work and unavoidable commitments is determined under the agreement and applicable law, taking account of costs saved. The pre-shoot 25% cancellation arrangement does not mean a completed shoot or edit can be cancelled for only 25%.

Advance payments and other amounts already paid will always be credited.

11. Copyright and use of deliverables

Copyright remains with All Is Content or the relevant rights holder unless a separate written transfer is agreed.

The client may use the final deliverables from final delivery for the purposes and channels agreed in the quote. Payment remains due within the agreed payment period.

Unless the quote states otherwise, permission includes publication on the client’s own website and organic social media channels, including YouTube. This permission is non-exclusive, worldwide and without a fixed end date for rights controlled by All Is Content.

Any restrictions associated with third-party material must be disclosed and agreed beforehand. All Is Content will arrange suitable rights for third-party materials it supplies for the agreed use.

Paid advertising, broadcast, resale, sublicensing and materially different uses require prior agreement so that any additional rights can be arranged.

Raw footage, unedited audio and editable project files are not included unless expressly agreed.

12. Portfolio and confidentiality

All Is Content will agree portfolio or promotional use separately with the client.

Confidential or unreleased material will not be published without permission, and agreed embargoes will be respected. Client approval does not replace any separate legal basis or permission required for identifiable participants.

Both parties will take reasonable care of confidential information received during the project.

13. File delivery and retention

Final files are supplied digitally using the agreed delivery method. The client should download and back up the files promptly. Download-link availability will be stated at delivery.

All Is Content retains production source files, project files and a copy of the final deliverables for three months after final delivery, using reasonable storage and backup measures.

After that period, these files may be deleted without further notice. Longer storage must be agreed in writing beforehand and may involve an additional fee.

This period concerns production-file storage. Records required for legal or administrative purposes may be retained longer. Personal data is handled under applicable data-protection law and the relevant privacy information.

14. Collaborators and subcontractors

If All Is Content engages another creator to perform part of its own agreement, All Is Content remains responsible for its contractual obligations.

For combined photography and video projects, the quote identifies the contracting party or parties, their deliverables and payment arrangements.

Services contracted separately with another supplier are governed by that separate agreement.

15. Complaints and liability

Please report a problem promptly to info@alliscontent.com, describing the issue and the relevant project.

All Is Content will investigate and, where appropriate, have a reasonable opportunity to correct work that does not meet the agreement. Reporting a problem outside the normal feedback period does not automatically remove statutory rights.

Liability is governed by applicable law. These terms do not exclude liability or remedies that cannot lawfully be excluded.

16. Circumstances beyond reasonable control

If circumstances beyond a party’s reasonable control prevent performance, that party will notify the other as soon as reasonably possible.

The parties will discuss rescheduling or another reasonable solution. If performance remains impossible or a suitable solution cannot be reached, the agreement may be ended in accordance with applicable law.

Payment for completed work, unavoidable costs and refunds will be assessed under the agreement and applicable law. An advance payment is not automatically forfeited when All Is Content cannot perform.

17. Consumer right of withdrawal

Where a statutory right of withdrawal applies to a distance or off-premises service agreement, the consumer may withdraw without giving a reason within 14 days after the day the agreement is concluded.

To exercise this right, send a clear statement to:

All Is Content

Atlas 8, 5591 PK Heeze, the Netherlands

info@alliscontent.com

The model form below may be used but is not compulsory. Sending the withdrawal statement before the deadline is sufficient.

Payments will be refunded without undue delay and within 14 days after notice of withdrawal, using the original payment method unless otherwise expressly agreed, without refund fees.

If the consumer expressly requests work to begin during the withdrawal period, a proportionate amount for services already performed may be payable only where the statutory information and consent requirements have been satisfied.

The right of withdrawal is lost after full performance only if the consumer expressly requested or consented to early performance and acknowledged beforehand that full performance would end that right. Accepting these terms alone does not provide that separate consent.

The cancellation fees in section 9 do not apply to a valid statutory withdrawal.

18. Applicable law and disputes

Dutch law applies. Consumers retain any mandatory protections applicable in their country of habitual residence.

The parties will first try to resolve a dispute through direct communication. Either party may submit a dispute to the court competent under applicable law.

Complete and return this form only if you wish to withdraw from the agreement.
